General terms

Definition

The following expressions shall have the following meanings:

"HR Wallingford" - HR Wallingford Limited, whose registered office is at Howbery Park, Wallingford, Oxfordshire OX10 8BA, UK

"Server" - the location on which this website is placed

"Services" - services available from HR Wallingford.

"Software" -

"Terms" - these General Terms.

Incorporation of terms

These Terms are applicable to all tools and services supplied by HR Wallingford from and on this website. In the event of any ambiguity between these Terms and the licence agreement the terms of the relevant agreement take precedence.

Notice specific to the tools available from this website

  1. Any tool that is made available to download or access online from this Server is the copyrighted work of HR Wallingford or its collaborators in particular projects as the case may be. 
  2. Use of the tool is governed by the terms of the Licence Agreement. An end user will be unable to install any tool that is accompanied by or includes a Licence Agreement, unless he or she first agrees to be bound by the Licence Agreement. The tool is made available for downloading or accessing online solely for use by end users according to the Licence Agreement. Any reproduction or redistribution of the tool not in accordance with the Licence Agreement is expressly prohibited. 
  3. Without limiting the foregoing, copying or reproduction of the software to any other server or location for further reproduction or redistribution is expressly prohibited. the tool is warranted, if at all, only according to the terms of the specific licence agreement which applies to the tool. except as warranted in the specific licence agreement, HR Wallingford hereby disclaims all warranties and conditions with regard to the tool, including all implied warranties and conditions of suitable quality, fitness for a particular purpose, and non-infringement. HR Wallingford accepts no liability for the use to which the tool is put (even if HR Wallingford is aware of the particular use) or the output of the software or incapability of using the software in no event shall HR Wallingford be liable for any special, indirect or consequential damages or any damages whatsoever resulting from loss of use, data or profits, whether in an action of contract, negligence or other tortious action, arising out of or in connection with the use or performance of software available from this server the tool could include bugs or errors. changes are periodically made to the tool and HR Wallingford may make improvements and/or changes to the tool at any time. 
  4. This disclaimer does not exclude HR Wallingford’s liability for fraud, fraudulent misrepresentation death or personal injury as a result of the negligence of HR Wallingford or any other liability which cannot be limited or excluded by law.

Terms and conditions of purchase

Purchasing a one-year subscription to EMBREA Pro

On the www.dambreach.org website, click on the "Purchase EMBREA Pro" button.

Click "Add to cart" to add your order to the shopping cart. You will need to have an online account with us and be logged in to be able to purchase a subscription. The cart is set up to only accept one licence at a time. If you need to buy more than one licence, you will need to create one account per subscription. 

Go to the shopping cart to complete your order. The shopping cart gives you a summary of your order. Discounts, when applicable, are automatically applied at shopping cart level.
Our website lets you pay through WorldPay only as per the payment section below. Until payment is received licencing cannot be confirmed and we reserve the right to reject your order if we are not content that this is a transaction made in the course of a business.

By placing an order you are deemed to have accepted these terms and conditions on behalf of your company or organisation or personally if you are a sole trader.

Payment

Credit card security
Secure on-line payments are made directly through WorldPay (a Royal Bank of Scotland company). To enable WorldPay to provide secure payment facilities you will be required to supply your name, your credit or debit card number (with the expiry date) your e-mail and billing addresses. Transmission of sensitive information (such as a credit card number) over the internet is protected through the use of encryption, such as the Secure Socket Layer (SSL) protocol. HR Wallingford does not have access to your financial details. Due to procedures that exist regarding the use of credit card information, HR Wallingford will not accept any credit/debit card details sent by email, by fax or over the phone.

Licence

Once your payment is received, we will try to process your licence promptly. We do not guarantee that your licence will be activated by any specified time, but we aim to give you access to the software within one working business day. By submitting your payment and other licensing  details, you are making an offer to us to buy a licence to use the software. Your offer will only be accepted by us and a contract formed when we have successfully verified your details, at which point we will provide you with the licence and access to the software. We reserve the right to reject any offer in our discretion, for any or no reason.

Tax charges

All fees include applicable tax at the prevailing rate (currently 20%). Value Added Tax (“VAT”) must be paid.

Start of licence

You agree that your licence will begin as soon as we send you the email confirming your licence for one year duration from your first use of the software.

Intellectual property 

The copyright in the software is owned by HR Wallingford Ltd. Your attention is drawn to the copyright restrictions in the licence.

Governing law

These terms shall be construed in accordance with English Law.

Notice specific to documents available on this website

Documents (such as brochures, training material, reports, accounts and news articles) from this website may be used, provided that (1) use of such Documents is for information, non-commercial or personal use only and will not be copied or posted on any network computer or broadcast in any media, and (2) no modifications of any Documents are made. Note that training material may be modified as anticipated by the e-learning pages. Use for any other purpose is expressly prohibited, and may result in legal action being taken.
